Podemos, a nosso exclusivo critério, recusar a oferta dos Serviços a qualquer pessoa ou entidade e alterar os critérios de elegibilidade a qualquer momento.
Ao usar ou se registrar em um Serviço, você concorda com estes Termos de Uso e com nosso Aditivo de Processamento de Dados. Também publicamos uma Política de Cookies e uma Política de Privacidade, que recomendamos que você leia para entender melhor como pode atualizar, gerenciar, acessar e excluir suas informações. Você também pode optar por imprimir uma cópia destas políticas para seus registros.
Para acessar o Site ou determinados Serviços, pode ser solicitado que você crie uma conta fornecendo um endereço de e-mail válido e uma senha forte. Sua conta será criada assim que você preencher um formulário de registro de acordo com as instruções fornecidas. Em relação à sua conta, você declara e assume o compromisso de que: (a) todas as informações obrigatórias enviadas são verdadeiras e precisas, e você manterá a precisão de tais informações; (b) você não permitirá que o perfil da sua conta seja utilizado por qualquer outro usuário não registrado; (c) você manterá uma senha segura para o uso da conta Rebrandly, a qual será alterada com a frequência que a Rebrandly exigir a seu exclusivo critério, e você manterá sua senha em sigilo; (d) você permitirá que a Rebrandly ou qualquer um de seus licenciadores e/ou agentes audite sua conta para verificar a conformidade com estes Termos de Uso; e (e) você tem pelo menos dezoito (18) anos de idade e capacidade para celebrar contratos.
A Rebrandly reserva-se o direito, a seu exclusivo critério e sem aviso prévio, de suspender, encerrar, modificar ou excluir sua conta de usuário ou seu acesso ao Site ou a partes dele caso você esteja, ou suspeitemos que esteja, deixando de cumprir qualquer uma das disposições destes Termos de Uso ou do Aditivo de Processamento de Dados, ou por qualquer uso ilegal ou impróprio, real ou suspeito, do Site. Se você utilizar várias contas, a Rebrandly poderá tomar medidas contra todas elas. Qualquer atividade considerada ilegal poderá ser comunicada às autoridades competentes.
Taxas de Assinatura
Para acessar determinados Serviços, você precisará adquirir uma assinatura que dá a você e a quaisquer funcionários, agentes, clientes e contratados independentes que você autorizar (“Usuários Autorizados”) o direito de acessar e usar os Serviços e a Documentação (conforme definido na Seção 4) (“Assinatura de Usuário”). Exceto para contas gratuitas, você deve pagar as taxas de assinatura da maneira estabelecida nas seções “Assinatura” e “Método de Pagamento” do seu painel da Rebrandly (“Taxas de Assinatura”). Todas as Taxas de Assinatura são pagáveis por você à Rebrandly antecipadamente, integralmente e com antecedência para todo o prazo do contrato e sem qualquer dedução (por exemplo, taxas bancárias, taxas de câmbio), compensação ou retenção de qualquer natureza (exceto conforme exigido por lei). Se a Rebrandly não receber seu pagamento dentro de cinco (5) dias após a data de vencimento, a Rebrandly tem o direito de suspender seu acesso a todos ou parte dos Serviços até que você restabeleça sua assinatura e enquanto a(s) fatura(s) em questão permanecerem não pagas.
A duração do seu ciclo de faturamento dependerá do tipo de Assinatura de Usuário que você escolher ao se inscrever no Serviço. Em alguns casos, sua data de pagamento pode mudar. Por exemplo, se você alterar sua Assinatura de Usuário ou se sua Assinatura de Usuário começou em um dia que não existe em todos os meses.
Renovação
Sua Assinatura de Usuário será renovada automaticamente ao final da sua assinatura (conforme identificado no momento da compra, no seu painel ou no formulário de pedido relevante) (“Data de Aniversário”), a menos que você cancele sua Assinatura de Usuário de acordo com a seção de Cancelamento a seguir. Para fins de clareza e apenas como exemplo, se sua assinatura for um termo inicial de dois anos pagável anualmente, sua “Data de Aniversário” é o segundo aniversário da data de início. Se a Rebrandly não tiver recebido um aviso de cancelamento e não tiver recebido o pagamento das taxas devidas pelo período de renovação até a Data de Aniversário, a Rebrandly poderá suspender, excluir ou reduzir seus Serviços para um serviço gratuito. A Rebrandly pode excluir quaisquer dados que você tenha fornecido em seus links e painel sem aviso prévio em tais circunstâncias.
Cancelamento
“Data de Ativação” significa a data em que a Rebrandly disponibiliza os Serviços para você. A qualquer momento após a Data de Ativação, você pode cancelar sua Assinatura de Usuário de um Serviço fornecendo um aviso por escrito de trinta (30) dias à Rebrandly ou desativando a renovação automática no seu Painel. A Rebrandly pode cancelar seu acesso e uso de um Serviço, ou descontinuar qualquer Serviço a seu exclusivo critério a qualquer momento, fornecendo um aviso por escrito de trinta (30) dias. O Serviço terminará automaticamente na data especificada no aviso de cancelamento. Se a Parte não especificar uma data de cancelamento, o Serviço terminará na próxima Data de Aniversário. Se você cancelar um Serviço antes da Data de Aniversário, não terá direito a qualquer reembolso e todas as Taxas de Assinatura não pagas tornar-se-ão imediatamente devidas e pagáveis.
Se, por qualquer motivo, a Rebrandly cancelar um Serviço ou não puder mais continuar um Serviço, você terá direito a um reembolso das Taxas de Assinatura já pagas, calculado pro rata, pelo período não expirado da Assinatura de Usuário. Em qualquer caso, o reembolso não excederá o valor das Taxas de Assinatura que você já pagou.
A Rebrandly reserva-se o direito de cancelar qualquer Serviço imediatamente e sem aviso prévio se você violar qualquer disposição destes Termos de Uso ou quaisquer outros termos aplicáveis a esse Serviço.
Após o cancelamento por qualquer motivo: (i) todos os direitos concedidos a você sob estes Termos de Uso cessarão; (ii) você deve cessar todas as atividades autorizadas por estes Termos de Uso; e (iii) você deve excluir, remover e cessar imediatamente o acesso à sua conta de usuário.
Métodos de Pagamento
Para usar nossos Serviços, você deve fornecer um ou mais métodos de pagamento. Você nos autoriza a cobrar qualquer método de pagamento associado à sua conta. Podemos cobrar um método de pagamento diferente em circunstâncias em que seu método de pagamento principal seja recusado ou não esteja mais disponível para nós. Você permanece responsável por quaisquer valores não recebidos. Se um pagamento não for liquidado com sucesso, devido a vencimento, fundos insuficientes ou outro motivo dentro de cinco (5) dias após a cobrança inicial, e você não cancelar sua conta, poderemos suspender ou reduzir o acesso a todos ou parte dos Serviços. Não teremos obrigação de fornecer qualquer ou todos os Serviços enquanto a fatura em questão permanecer não paga. Para alguns métodos de pagamento, o emissor pode cobrar certas taxas, como taxas de transação estrangeira ou outras taxas relacionadas ao processamento do seu método de pagamento. Pagamento por cheque não é aceito.
Atualização dos Seus Métodos de Pagamento
Você pode atualizar seus métodos de pagamento no seu Painel. Também podemos atualizar seus métodos de pagamento usando as informações fornecidas a nós por provedores de serviços de pagamento autorizados. Após qualquer atualização, você nos autoriza a continuar cobrando seus métodos de pagamento.
Taxas de Uso e Volume
“Volume de Uso” significa os volumes definidos na sua Assinatura de Usuário (incluindo, mas não se limitando a, número de cliques, links, nomes de domínio, relatórios, chamadas de API e membros da equipe). Se você exceder seu Volume de Uso, reservamo-nos o direito de cobrar taxas adicionais.
Alterações de Preço e Planos de Assinatura
A Rebrandly reserva-se o direito de alterar o preço dos seus Serviços. Forneceremos a você um aviso prévio por escrito de pelo menos trinta (30) dias sobre qualquer alteração de preço, por e-mail para o endereço associado à sua conta e/ou por notificação na plataforma. Qualquer alteração de preço entrará em vigor no início do seu próximo período de renovação ou, para assinaturas mensais, no início do próximo ciclo de faturamento mensal após o período de aviso prévio. Se você não concordar com a alteração de preço, poderá cancelar sua Assinatura de Usuário de acordo com a seção de Cancelamento antes que a alteração entre em vigor. O uso continuado dos Serviços após a data de vigência da alteração de preço constituirá sua aceitação do novo preço.
Após qualquer upgrade ou compra, você concorda em pagar as Taxas de Assinatura aumentadas de acordo com estes Termos de Uso.
Alguns Serviços (como serviços profissionais) podem incorrer em taxas adicionais fora da sua Assinatura de Usuário. Você pagará quaisquer taxas adicionais dessa natureza da forma mutuamente acordada antes do início dos Serviços.
Impostos
You shall be responsible for all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by any federal, state or local governmental entity on any amounts payable hereunder; and to the extent Rebrandly is required to pay any such sales, use, excise, or other taxes or other duties or charges, you shall reimburse Rebrandly in connection with its payment of fees and expenses as set forth in this Section. Notwithstanding the previous sentence, in no event shall Rebrandly pay or be responsible for any taxes imposed on, or regarding, your income, revenues, gross receipts, personnel, or real or personal property or other assets. To the extent you are required by law to deduct and withhold any taxes on amounts payable under this Agreement, you shall: (a) pay Rebrandly such additional amounts so as to ensure that Rebrandly receives the same total amount that we would have received if no such withholding tax had been required; (b) promptly deduct and remit such tax due to the appropriate tax authority; and (c) provide Rebrandly with all such reasonable assistance and documents necessary for Rebrandly to receive a tax credit for a corresponding amount.
Rebrandly will perform the Services and make all documents, demonstration materials, webinars, system user guides, or other documentation and manuals (collectively, the “Documentation“) available to you using all reasonable skills and care. The Services are provided on an “as is” and “as available” basis. Rebrandly will use reasonable commercial endeavors to make the Services provided through the Site available 24 hours a day, seven days a week, subject to any planned maintenance or unscheduled emergency maintenance, where Rebrandly will try to provide you as much notice as possible. Rebrandly will provide the Services in accordance with the service descriptions in the Documentation (“Services Description“). If the Services do not materially conform to the Services Description, Rebrandly will use reasonable commercial endeavors to correct such non-conformance or to provide a substitution. Any such correction or substitution constitutes your sole and exclusive remedy. Notwithstanding the foregoing, Rebrandly does not warrant that your use of the Services will be uninterrupted or error-free, or that the Services, Documentation, and/or the information obtained by you through the Services will meet your requirements. Rebrandly is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of any data you provide through the Services (“Your Data“), over communications networks and facilities, including the internet. You acknowledge and agree that the Services and Documentation may be subject to limitations, delays, and other problems inherent in the use of such communications facilities. During the Terms of Use, Rebrandly shall maintain, with a reputable insurance provider, insurance
coverage that is commercially reasonable in the context of the Terms of Use. Upon written request, Rebrandly shall provide you with evidence of such insurance.
By accessing or using the Site and/or Services, you agree to:
● Comply with all applicable laws, regulations, codes, guidance, standards and sanctions concerning your activities under these Terms of Use;
● Carry out all your other responsibilities set out in these Terms of Use in a timely and efficient manner;
● Ensure that all Authorized Users use the Services and the Documentation in accordance with these Terms of Use and will be responsible for any Authorized User’s breach of these Terms of Use;
● Maintain a full back-up copy of all of Your Data including for maintenance purposes or to make alternative business continuity arrangements;
● Comply with all applicable data protection legislation and inform your end users of any data collection/aggregation that Rebrandly conducts on your behalf as a Processor; and
● Be solely responsible for ensuring that appropriate environmental conditions are maintained for your receipt and use of the Services, including procuring and maintaining your network connections and telecommunications links from your systems to Rebrandly’s data centers, and all problems, conditions, delays, delivery failures, and all other loss or damage arising from or relating to your network connections or telecommunications links or caused by the internet.
● Be solely responsible for compliance with all import, reimport, export, re-export, sanctions, anti-boycott laws and other regulations that apply to the use of the Services by you and Authorized Users.
● Cease using the Services and notify us immediately if you or an Authorized User is subject to sanctions or designated on any list of prohibited and or restricted parties (including those maintained by the UN, US, UK, EU, EU member states or other applicable government authorities).
● Notify us immediately upon learning of any matter in breach of these Terms of Use.
You further agree that you and your Authorized Users shall not use the Site and Services in any way that:
● Stores, distributes, or transmits any computer codes or viruses;
● Is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
● Is illegal or causes damage or injury to any person or property;
● Is used to spam or track spam-related material;
● Changes or alters the Site or content or Services that may appear on the Site;
● Impairs in any way the integrity or operation of the Site or Services;
● Interferes with or induces a breach of the contractual relationships between us and our employees;
● Interferes with our network services;
● Attempts to gain unauthorized access to our network services;
● Impairs or limits our ability to operate the Site or Services, or any other person’s ability to access and use the Site or Services;
● Unlawfully impersonates or otherwise misrepresents your affiliation with any person or entity;
● Promotes, transmits, or uploads violent, obscene, sexually explicit, discriminatory, hateful, threatening, abusive, defamatory, offensive, harassing, or otherwise objectionable content or images;
● Dilutes or depreciates our or any of our affiliates’ name and reputation;
● Conflicts or contravenes any applicable data protection legislation; or
● Transmits or uploads content or images that infringe upon any third party’s Intellectual Property Rights or right to privacy.
This list of prohibited activities provides examples and is not complete or exclusive. You acknowledge that you are solely responsible for ensuring that your use and your Authorized User’s use of the Site and the Services do not violate this Section 5. We reserve the right to terminate access to your account and your ability to use the Site, Services, or Documentation with or without cause and with or without notice, for any reason or no reason, or for any action that we determine is inappropriate or disruptive to this Site or to any other user of this Site and Services. We may report to law enforcement authorities any actions that may be illegal, and any reports we receive of such conduct. When legally required or at our discretion, we will cooperate with law enforcement agencies in any investigation of alleged illegal activity on this Site or on the Internet, which may include disclosing any information we obtain. In addition, we may
disclose information we obtain as necessary or appropriate to operate or improve the Site, to protect us and/or our Site users, or for any other purpose that the law permits.
You acknowledge that Rebrandly is a reseller participating in Tucows’ distribution channel for domain name registrations. Rebrandly cannot guarantee that you will obtain your requested domain name, and Rebrandly is not responsible for any inaccuracies or errors in the domain name registration or renewal process. For a full, detailed explanation of the Tucows’ Registration Agreement to which you will be subject, please review it here. Domain registration, transfer, and renewal fees are non-refundable.
The auto-renewal option is enabled by default to ensure that every domain name registered through Rebrandly will be renewed and will continue to work along with the branded links associated with it. You can disable the auto-renewal option and terminate the service 60 days before the domain is scheduled to auto-renew. When a domain is terminated, it will be removed from the associated account along with all the related links.
You acknowledge that Rebrandly uses third party domain search providers in the Services (“Domain Search”). You shall not provide or submit personal data or other sensitive data into the Domain Search. Information that you provide or otherwise submit into the Domain Search may be provided to the relevant domain search provider and shall be processed in accordance with the Rebrandly Privacy Policy.
If you choose to connect a domain you have purchased through any other domain provider to the Site, it is your sole and explicit responsibility to adhere to the terms set out by that domain provider and the terms contained within these Terms of Use. Rebrandly will have no liability to any third party for your use of any other domain.
Domain names registered by Rebrandly are for the purposes of establishing branded links and access to the domain control panel, and the domain name system will not be available to you unless otherwise agreed.
RESOLUTION POLICY
You agree that any disputes arising from your application to register, maintain or renew a domain name registration will be handled according to the Uniform Domain Name Dispute Resolution Policy, which has been adopted by ICANN and as set out here.
Rebrandly reserves the right at any time to change, modify, add to, discontinue, or retire any aspect or feature of the Services, including, but not limited to, any online software applications Rebrandly provides as part of the Services (the “Software“), hours of availability, equipment needed for access or use, the maximum number of clicks you can monitor, and the quantity of statistical data Rebrandly stores in its servers. Any such modifications will not materially or adversely affect your rights or obligations under these Terms of Use.
“Confidential Information” means all Documentation, technical information, Software, business information, feedback, reports about the Services, trade secrets, Intellectual Property Rights, or other materials of a confidential nature disclosed by one party to the other party in connection with the Services. The receiving party will treat all Confidential Information received as secret, confidential, and proprietary and will not disclose or use the same without the explicit and prior written consent of the other party. Both parties will implement such procedures as reasonably necessary to prevent the intentional or negligent disclosure to any third party of any Confidential Information (unless such disclosure is required by law). Notwithstanding the foregoing, Confidential Information shall not include any information that: (a) before its disclosure, was of general public knowledge; (b) becomes, after its disclosure to the receiving party, a matter of general public knowledge other than as a consequence of a breach by the receiving party of any obligation under these Terms of Use; or (c) is made public by the disclosing party.
Unless you have otherwise requested in writing before the Activation Date, you agree that Rebrandly may include your trademarks, name, logos, comments, and feedback in Rebrandly customer lists, press releases, marketing materials, social media channels, and on the Site. You may ask us at any time during your User Subscription to withdraw any such use.
“Intellectual Property Rights” means all patents, utility models, rights to inventions, copyright and neighboring and related rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill, and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all and other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection that subsist or will subsist now or in the future in any part of the world.
Rebrandly owns all Intellectual Property Rights in your feedback, recommendations, comments, the Services, Documentation, and the Site. Rebrandly hereby grants you a non-exclusive, non-transferable, revocable, and limited license to use, view, display, and access the Services, Documentation, and Site foregoing for the sole purpose of exercising your rights under these Terms of Use. Except for the foregoing license and as otherwise required or limited by applicable law, you have no other rights in the Services, Documentation, or Site and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or in any way exploit the Services, Documentation, or Site in any manner or for any purpose that would constitute an infringement of our, our licensors’, or other user’s Intellectual Property Rights. All rights not expressly granted herein are reserved.
If you breach any of the Terms of Use, the above license will terminate automatically, and you must immediately destroy any downloaded or printed Services or Documentation.
To use the Services, Rebrandly requires you to register and provide personal data (as defined under applicable data protection laws) (“Personal Data“). You agree to provide accurate and complete Personal Data, and you agree to keep such information current.
The Rebrandly Privacy Policy explains how Rebrandly collects and uses Personal Data. You agree to comply with your obligations, and Rebrandly agrees to comply with all respective obligations under applicable data protection laws. You warrant that you are entitled to disclose any Personal Data that you provide to us. You warrant that you will not transfer, store, disclose, or process sensitive Personal Data through your use of our Services unless you obtain our prior written consent.
You will not include any Personal Data inside any Service applications and/or any URL/link created by you using the Services. It is your responsibility to notify Rebrandly in advance should you include or wish to include any Personal Data in any URL/link you create by using the Services or in any part of the Service application.
As per the Data Processing Addendum, you acknowledge that any data which Rebrandly collects from links created by you is collected on your behalf as part of Rebrandly’s role as processor. Where the services provided include data insights, these insights are prepared by Rebrandly in its role as processor on your behalf in your role as controller.
You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of):
- Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our site or any data, content, information or services accessed via the same.
- Any automated analytical technique aimed at analysing text and data in digital form to generate information or develop, train, fine-tune or validate AI systems or models which includes but is not limited to patterns, trends and correlations.
The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).
You shall not use, and we do not consent to the use of, our site, or any data published by, or contained in, or accessible via, our site or any services provided via, or in relation to, our site for the purposes of developing, training, fine-tuning or validating any AI system or model.
This clause will not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
The Site contains integrations including those with domain search providers and hyperlinks to third-party websites (collectively, “Third-Party Sites“). You acknowledge and agree that Third-Party Sites may have different privacy policies, terms and conditions, and/or user guides and business practices than us, and you further acknowledge and agree that your use of such Third-Party Sites is governed by the respective Third-Party Site privacy policy, terms and conditions, and/or user guides. You alone are responsible for your compliance with such policies, terms and conditions and/or user guides. IN NO EVENT, WILL REBRANDLY BE LIABLE TO YOU OR ANY PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, OR OTHER CONSEQUENTIAL DAMAGES FOR ANY USE OF THE SITE, SERVICES, OR DOCUMENTATION, INCLUDING WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA OR OTHERWISE, EVEN IF REBRANDLY IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

We may (at our discretion) suspend or terminate some or all of the Services of these Terms of Use if: (a) the contract between us and Reseller terminates; or (b) Reseller does not pay Rebrandly the applicable Subscription Fees.
Notices. All notices to Rebrandly under these Terms of Use must be in writing and sent to legal@rebrandly.com. All notices under these Terms of Use to you may be sent via electronic communications including email, in-platform or in-app notifications or via the Services or Site.
Assignment. You may not assign, delegate, or transfer these Terms of Use or any right or obligation contained in them without our prior written consent. We may freely assign our obligations and rights under these Terms of Use.
Relationship. Nothing in these Terms of Use will be construed to give any Party the power to direct or control the daily activities of the other Party or to constitute the Parties as principal and agent, employer and employee, franchiser and franchisee, partners, joint venturers, co-owners or otherwise as participants in a joint undertaking.
Deeds. Each Party hereby covenants and agrees that it will execute and deliver such deeds and other documents as may be required to implement any of the provisions of these Terms of Use.
No Waiver. The failure of any Party to insist on strict performance of any provision of these Terms of Use will not preclude any other further exercise of that right or other right under these Terms of Use.
Severability. If any term or provision in these Terms of Use is found to be void, against public policy, or unenforceable by a court of competent jurisdiction and such finding or order becomes final with all appeals exhausted, then the offending provision shall be deemed modified to the extent necessary to make it valid and enforceable. Other Remedies. The Parties’ remedies under these Terms of Use are cumulative and will not exclude any other remedies to which a Party may be lawfully entitled. Each Party acknowledges that in entering and accepting these Terms of Use, it does not rely on, and will have no
remedies in respect of, any representation or warranty (whether made innocently or negligently) that is not set out in them.
Alterations or Variations. No alteration to or variation of these Terms of Use will take effect unless and until Rebrandly accepts the same in writing.
Governing Law and Jurisdiction. These Terms of Use and any dispute, or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), will be governed by and construed in accordance with the laws of Ireland. You irrevocably agree that the courts of Ireland will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Use or their subject matter or formation (including non-contractual disputes or claims).
