En utilisant ou en vous inscrivant à un Service, vous acceptez les présentes Conditions d'utilisation ainsi que notre Addendum sur le traitement des données. Nous publions également une Politique en matière de cookies et une Politique de confidentialité, que nous vous encourageons à lire pour mieux comprendre comment vous pouvez mettre à jour, gérer, accéder à et supprimer vos informations. Pour accéder au Site ou à certains Services, il pourra vous être demandé de créer un compte en fournissant une adresse e-mail valide et un mot de passe robuste. Rebrandly se réserve le droit, à sa seule discrétion et sans préavis, de suspendre, résilier, modifier ou supprimer votre compte utilisateur ou votre accès au Site ou à certaines de ses parties si vous ne respectez pas, ou si nous soupçonnons que vous ne respectez pas, l'une des dispositions des présentes Conditions d'utilisation ou de l'Addendum sur le traitement des données, ou en cas d'utilisation illégale ou inappropriée, réelle ou suspectée, du Site. Si vous utilisez plusieurs comptes, Rebrandly peut prendre des mesures à l'encontre de l'ensemble de vos comptes. Toute activité considérée comme illicite pourra être signalée aux autorités compétentes.
Frais d'abonnement
Pour accéder à certains services, vous devrez souscrire un abonnement qui vous autorise, ainsi que vos employés, agents, clients et sous-traitants indépendants autorisés (« Utilisateurs autorisés »), à accéder et à utiliser les services et la documentation (telle que définie à la section 4) (« Abonnement utilisateur »). Sauf pour les comptes gratuits, vous devez payer les frais d'abonnement selon les modalités indiquées dans les sections « Abonnement » et « Méthode de paiement » de votre tableau de bord Rebrandly (« Frais d'abonnement »). Tous les frais d'abonnement sont payables par vous à Rebrandly à l'avance, en totalité et pour la durée totale du contrat, sans aucune déduction (frais bancaires, taux de change, etc.), compensation ou retenue de quelque nature que ce soit (sauf si la loi l'exige). Nous débiterons les frais d'abonnement sur votre moyen de paiement à la date de paiement spécifique indiquée dans les sections « Abonnement » et « Méthode de paiement » de votre tableau de bord Rebrandly. Si Rebrandly ne reçoit pas votre paiement dans les cinq (5) jours suivant la date d'échéance, Rebrandly est en droit de suspendre votre accès à tout ou partie des services jusqu'à ce que vous régularisiez votre abonnement et tant que la ou les factures concernées restent impayées.
La durée de votre cycle de facturation dépend du type d'abonnement utilisateur choisi lors de votre inscription au service. Dans certains cas, votre date de paiement peut changer, par exemple si vous modifiez votre abonnement utilisateur ou si votre abonnement a débuté un jour qui n'existe pas dans tous les mois.
Renouvellement
Votre abonnement utilisateur sera automatiquement renouvelé à la fin de votre période d'abonnement (telle qu'identifiée au moment de l'achat, dans votre tableau de bord ou dans le bon de commande correspondant) (« Date anniversaire »), sauf si vous résiliez votre abonnement conformément à la section Résiliation ci-dessous. À titre d'exemple, si votre abonnement initial est de deux ans payable annuellement, votre « Date anniversaire » est le deuxième anniversaire de la date de début. Si Rebrandly n'a pas reçu d'avis de résiliation et n'a pas reçu le paiement des frais dus pour la période de renouvellement à la date anniversaire, Rebrandly peut suspendre, supprimer ou rétrograder vos services vers une offre gratuite. Dans de telles circonstances, Rebrandly peut supprimer sans préavis toutes les données que vous avez fournies dans vos liens et votre tableau de bord.
Résiliation
La « Date d'activation » désigne la date à laquelle Rebrandly met les services à votre disposition. À tout moment après la date d'activation, vous pouvez résilier votre abonnement utilisateur à un service en fournissant un préavis écrit de trente (30) jours à Rebrandly ou en désactivant le renouvellement automatique dans votre Tableau de bord. Rebrandly peut résilier votre accès et votre utilisation d'un service, ou interrompre tout service à sa seule discrétion à tout moment en fournissant un préavis écrit de trente (30) jours. Le service prendra fin automatiquement à la date spécifiée dans l'avis de résiliation. Si aucune date de résiliation n'est précisée, le service prendra fin à la date anniversaire suivante. Si vous résiliez un service avant la date anniversaire, vous ne pourrez prétendre à aucun remboursement et tous les frais d'abonnement impayés deviendront immédiatement exigibles.
Si, pour quelque raison que ce soit, Rebrandly annule un service ou n'est plus en mesure de le maintenir, vous aurez droit au remboursement des frais d'abonnement déjà payés, calculés au prorata pour la période non expirée de l'abonnement utilisateur. Dans tous les cas, le remboursement ne pourra excéder le montant des frais d'abonnement que vous avez déjà versés.
Rebrandly se réserve le droit de résilier tout service immédiatement et sans préavis si vous enfreignez l'une des dispositions des présentes conditions d'utilisation ou toute autre condition applicable à ce service.
En cas de résiliation pour quelque raison que ce soit : (i) tous les droits qui vous sont accordés en vertu des présentes conditions d'utilisation prendront fin ; (ii) vous devrez cesser toutes les activités autorisées par ces conditions ; et (iii) vous devrez immédiatement supprimer, retirer et cesser tout accès à votre compte utilisateur.
Méthodes de paiement
Pour utiliser nos services, vous devez fournir un ou plusieurs moyens de paiement. Vous nous autorisez à débiter tout moyen de paiement associé à votre compte. Nous pouvons débiter un autre moyen de paiement si votre moyen de paiement principal est refusé ou n'est plus disponible. Vous restez responsable de tout montant impayé. Si un paiement n'est pas réglé avec succès dans les cinq (5) jours suivant la tentative initiale, en raison d'une expiration, d'une insuffisance de fonds ou pour toute autre raison, et que vous ne résiliez pas votre compte, nous pouvons suspendre ou réduire votre accès à tout ou partie des services. Nous ne serons tenus de fournir aucun service tant que la facture concernée restera impayée. Pour certains moyens de paiement, l'émetteur peut vous facturer des frais, tels que des frais de transaction étrangère ou d'autres frais liés au traitement de votre paiement. Les taxes locales peuvent varier en fonction du moyen de paiement utilisé. Nous vous recommandons de vérifier les détails auprès de votre prestataire de services de paiement. Le paiement par chèque n'est pas accepté.
Mise à jour de vos méthodes de paiement
Vous pouvez mettre à jour vos méthodes de paiement dans votre Tableau de bord. Nous pouvons également mettre à jour vos méthodes de paiement en utilisant les informations fournies par des prestataires de services de paiement agréés. Après toute mise à jour, vous nous autorisez à continuer de débiter vos méthodes de paiement.
Frais d'utilisation et de volume
Le « Volume d'utilisation » désigne les volumes définis dans votre abonnement utilisateur (incluant, sans s'y limiter, le nombre de clics, de liens, de noms de domaine, de rapports, d'appels API et de membres de l'équipe). Si vous dépassez votre volume d'utilisation, nous nous réservons le droit de vous facturer des frais supplémentaires.
Modifications des prix et des plans d'abonnement
Rebrandly se réserve le droit de modifier le prix de ses services. Nous vous informerons de toute modification tarifaire par écrit au moins trente (30) jours à l'avance, par e-mail à l'adresse associée à votre compte et/ou par une notification sur la plateforme. Toute modification de prix prendra effet au début de votre prochaine période de renouvellement ou, pour les abonnements mensuels, au début du cycle de facturation mensuel suivant la période de préavis. Si vous n'acceptez pas cette modification, vous pouvez résilier votre abonnement utilisateur conformément à la section Résiliation avant que le changement ne prenne effet. Votre utilisation continue des services après la date d'entrée en vigueur de la modification tarifaire vaudra acceptation du nouveau prix.
En cas de mise à niveau ou d'achat, vous acceptez de payer les frais d'abonnement majorés conformément aux présentes conditions d'utilisation.
Certains services (tels que les services professionnels) peuvent entraîner des frais supplémentaires en dehors de votre abonnement utilisateur. Vous devrez régler ces frais supplémentaires selon les modalités convenues d'un commun accord avant le début des services.
Taxes
You shall be responsible for all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by any federal, state or local governmental entity on any amounts payable hereunder; and to the extent Rebrandly is required to pay any such sales, use, excise, or other taxes or other duties or charges, you shall reimburse Rebrandly in connection with its payment of fees and expenses as set forth in this Section. Notwithstanding the previous sentence, in no event shall Rebrandly pay or be responsible for any taxes imposed on, or regarding, your income, revenues, gross receipts, personnel, or real or personal property or other assets. To the extent you are required by law to deduct and withhold any taxes on amounts payable under this Agreement, you shall: (a) pay Rebrandly such additional amounts so as to ensure that Rebrandly receives the same total amount that we would have received if no such withholding tax had been required; (b) promptly deduct and remit such tax due to the appropriate tax authority; and (c) provide Rebrandly with all such reasonable assistance and documents necessary for Rebrandly to receive a tax credit for a corresponding amount.
Rebrandly will perform the Services and make all documents, demonstration materials, webinars, system user guides, or other documentation and manuals (collectively, the “Documentation“) available to you using all reasonable skills and care. The Services are provided on an “as is” and “as available” basis. Rebrandly will use reasonable commercial endeavors to make the Services provided through the Site available 24 hours a day, seven days a week, subject to any planned maintenance or unscheduled emergency maintenance, where Rebrandly will try to provide you as much notice as possible. Rebrandly will provide the Services in accordance with the service descriptions in the Documentation (“Services Description“). If the Services do not materially conform to the Services Description, Rebrandly will use reasonable commercial endeavors to correct such non-conformance or to provide a substitution. Any such correction or substitution constitutes your sole and exclusive remedy. Notwithstanding the foregoing, Rebrandly does not warrant that your use of the Services will be uninterrupted or error-free, or that the Services, Documentation, and/or the information obtained by you through the Services will meet your requirements. Rebrandly is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of any data you provide through the Services (“Your Data“), over communications networks and facilities, including the internet. You acknowledge and agree that the Services and Documentation may be subject to limitations, delays, and other problems inherent in the use of such communications facilities. During the Terms of Use, Rebrandly shall maintain, with a reputable insurance provider, insurance
coverage that is commercially reasonable in the context of the Terms of Use. Upon written request, Rebrandly shall provide you with evidence of such insurance.
By accessing or using the Site and/or Services, you agree to:
● Comply with all applicable laws, regulations, codes, guidance, standards and sanctions concerning your activities under these Terms of Use;
● Carry out all your other responsibilities set out in these Terms of Use in a timely and efficient manner;
● Ensure that all Authorized Users use the Services and the Documentation in accordance with these Terms of Use and will be responsible for any Authorized User’s breach of these Terms of Use;
● Maintain a full back-up copy of all of Your Data including for maintenance purposes or to make alternative business continuity arrangements;
● Comply with all applicable data protection legislation and inform your end users of any data collection/aggregation that Rebrandly conducts on your behalf as a Processor; and
● Be solely responsible for ensuring that appropriate environmental conditions are maintained for your receipt and use of the Services, including procuring and maintaining your network connections and telecommunications links from your systems to Rebrandly’s data centers, and all problems, conditions, delays, delivery failures, and all other loss or damage arising from or relating to your network connections or telecommunications links or caused by the internet.
● Be solely responsible for compliance with all import, reimport, export, re-export, sanctions, anti-boycott laws and other regulations that apply to the use of the Services by you and Authorized Users.
● Cease using the Services and notify us immediately if you or an Authorized User is subject to sanctions or designated on any list of prohibited and or restricted parties (including those maintained by the UN, US, UK, EU, EU member states or other applicable government authorities).
● Notify us immediately upon learning of any matter in breach of these Terms of Use.
You further agree that you and your Authorized Users shall not use the Site and Services in any way that:
● Stores, distributes, or transmits any computer codes or viruses;
● Is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
● Is illegal or causes damage or injury to any person or property;
● Is used to spam or track spam-related material;
● Changes or alters the Site or content or Services that may appear on the Site;
● Impairs in any way the integrity or operation of the Site or Services;
● Interferes with or induces a breach of the contractual relationships between us and our employees;
● Interferes with our network services;
● Attempts to gain unauthorized access to our network services;
● Impairs or limits our ability to operate the Site or Services, or any other person’s ability to access and use the Site or Services;
● Unlawfully impersonates or otherwise misrepresents your affiliation with any person or entity;
● Promotes, transmits, or uploads violent, obscene, sexually explicit, discriminatory, hateful, threatening, abusive, defamatory, offensive, harassing, or otherwise objectionable content or images;
● Dilutes or depreciates our or any of our affiliates’ name and reputation;
● Conflicts or contravenes any applicable data protection legislation; or
● Transmits or uploads content or images that infringe upon any third party’s Intellectual Property Rights or right to privacy.
This list of prohibited activities provides examples and is not complete or exclusive. You acknowledge that you are solely responsible for ensuring that your use and your Authorized User’s use of the Site and the Services do not violate this Section 5. We reserve the right to terminate access to your account and your ability to use the Site, Services, or Documentation with or without cause and with or without notice, for any reason or no reason, or for any action that we determine is inappropriate or disruptive to this Site or to any other user of this Site and Services. We may report to law enforcement authorities any actions that may be illegal, and any reports we receive of such conduct. When legally required or at our discretion, we will cooperate with law enforcement agencies in any investigation of alleged illegal activity on this Site or on the Internet, which may include disclosing any information we obtain. In addition, we may
disclose information we obtain as necessary or appropriate to operate or improve the Site, to protect us and/or our Site users, or for any other purpose that the law permits.
You acknowledge that Rebrandly is a reseller participating in Tucows’ distribution channel for domain name registrations. Rebrandly cannot guarantee that you will obtain your requested domain name, and Rebrandly is not responsible for any inaccuracies or errors in the domain name registration or renewal process. For a full, detailed explanation of the Tucows’ Registration Agreement to which you will be subject, please review it here. Domain registration, transfer, and renewal fees are non-refundable.
The auto-renewal option is enabled by default to ensure that every domain name registered through Rebrandly will be renewed and will continue to work along with the branded links associated with it. You can disable the auto-renewal option and terminate the service 60 days before the domain is scheduled to auto-renew. When a domain is terminated, it will be removed from the associated account along with all the related links.
You acknowledge that Rebrandly uses third party domain search providers in the Services (“Domain Search”). You shall not provide or submit personal data or other sensitive data into the Domain Search. Information that you provide or otherwise submit into the Domain Search may be provided to the relevant domain search provider and shall be processed in accordance with the Rebrandly Privacy Policy.
If you choose to connect a domain you have purchased through any other domain provider to the Site, it is your sole and explicit responsibility to adhere to the terms set out by that domain provider and the terms contained within these Terms of Use. Rebrandly will have no liability to any third party for your use of any other domain.
Domain names registered by Rebrandly are for the purposes of establishing branded links and access to the domain control panel, and the domain name system will not be available to you unless otherwise agreed.
RESOLUTION POLICY
You agree that any disputes arising from your application to register, maintain or renew a domain name registration will be handled according to the Uniform Domain Name Dispute Resolution Policy, which has been adopted by ICANN and as set out here.
Rebrandly reserves the right at any time to change, modify, add to, discontinue, or retire any aspect or feature of the Services, including, but not limited to, any online software applications Rebrandly provides as part of the Services (the “Software“), hours of availability, equipment needed for access or use, the maximum number of clicks you can monitor, and the quantity of statistical data Rebrandly stores in its servers. Any such modifications will not materially or adversely affect your rights or obligations under these Terms of Use.
“Confidential Information” means all Documentation, technical information, Software, business information, feedback, reports about the Services, trade secrets, Intellectual Property Rights, or other materials of a confidential nature disclosed by one party to the other party in connection with the Services. The receiving party will treat all Confidential Information received as secret, confidential, and proprietary and will not disclose or use the same without the explicit and prior written consent of the other party. Both parties will implement such procedures as reasonably necessary to prevent the intentional or negligent disclosure to any third party of any Confidential Information (unless such disclosure is required by law). Notwithstanding the foregoing, Confidential Information shall not include any information that: (a) before its disclosure, was of general public knowledge; (b) becomes, after its disclosure to the receiving party, a matter of general public knowledge other than as a consequence of a breach by the receiving party of any obligation under these Terms of Use; or (c) is made public by the disclosing party.
Unless you have otherwise requested in writing before the Activation Date, you agree that Rebrandly may include your trademarks, name, logos, comments, and feedback in Rebrandly customer lists, press releases, marketing materials, social media channels, and on the Site. You may ask us at any time during your User Subscription to withdraw any such use.
“Intellectual Property Rights” means all patents, utility models, rights to inventions, copyright and neighboring and related rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill, and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all and other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection that subsist or will subsist now or in the future in any part of the world.
Rebrandly owns all Intellectual Property Rights in your feedback, recommendations, comments, the Services, Documentation, and the Site. Rebrandly hereby grants you a non-exclusive, non-transferable, revocable, and limited license to use, view, display, and access the Services, Documentation, and Site foregoing for the sole purpose of exercising your rights under these Terms of Use. Except for the foregoing license and as otherwise required or limited by applicable law, you have no other rights in the Services, Documentation, or Site and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or in any way exploit the Services, Documentation, or Site in any manner or for any purpose that would constitute an infringement of our, our licensors’, or other user’s Intellectual Property Rights. All rights not expressly granted herein are reserved.
If you breach any of the Terms of Use, the above license will terminate automatically, and you must immediately destroy any downloaded or printed Services or Documentation.
To use the Services, Rebrandly requires you to register and provide personal data (as defined under applicable data protection laws) (“Personal Data“). You agree to provide accurate and complete Personal Data, and you agree to keep such information current.
The Rebrandly Privacy Policy explains how Rebrandly collects and uses Personal Data. You agree to comply with your obligations, and Rebrandly agrees to comply with all respective obligations under applicable data protection laws. You warrant that you are entitled to disclose any Personal Data that you provide to us. You warrant that you will not transfer, store, disclose, or process sensitive Personal Data through your use of our Services unless you obtain our prior written consent.
You will not include any Personal Data inside any Service applications and/or any URL/link created by you using the Services. It is your responsibility to notify Rebrandly in advance should you include or wish to include any Personal Data in any URL/link you create by using the Services or in any part of the Service application.
As per the Data Processing Addendum, you acknowledge that any data which Rebrandly collects from links created by you is collected on your behalf as part of Rebrandly’s role as processor. Where the services provided include data insights, these insights are prepared by Rebrandly in its role as processor on your behalf in your role as controller.
You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of):
- Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our site or any data, content, information or services accessed via the same.
- Any automated analytical technique aimed at analysing text and data in digital form to generate information or develop, train, fine-tune or validate AI systems or models which includes but is not limited to patterns, trends and correlations.
The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).
You shall not use, and we do not consent to the use of, our site, or any data published by, or contained in, or accessible via, our site or any services provided via, or in relation to, our site for the purposes of developing, training, fine-tuning or validating any AI system or model.

We may (at our discretion) suspend or terminate some or all of the Services of these Terms of Use if: (a) the contract between us and Reseller terminates; or (b) Reseller does not pay Rebrandly the applicable Subscription Fees.
Notices. All notices to Rebrandly under these Terms of Use must be in writing and sent to legal@rebrandly.com. All notices under these Terms of Use to you may be sent via electronic communications including email, in-platform or in-app notifications or via the Services or Site.
Assignment. You may not assign, delegate, or transfer these Terms of Use or any right or obligation contained in them without our prior written consent. We may freely assign our obligations and rights under these Terms of Use.
Relationship. Nothing in these Terms of Use will be construed to give any Party the power to direct or control the daily activities of the other Party or to constitute the Parties as principal and agent, employer and employee, franchiser and franchisee, partners, joint venturers, co-owners or otherwise as participants in a joint undertaking.
Deeds. Each Party hereby covenants and agrees that it will execute and deliver such deeds and other documents as may be required to implement any of the provisions of these Terms of Use.
No Waiver. The failure of any Party to insist on strict performance of any provision of these Terms of Use will not preclude any other further exercise of that right or other right under these Terms of Use.
Severability. Other Remedies. The Parties’ remedies under these Terms of Use are cumulative and will not exclude any other remedies to which a Party may be lawfully entitled. Each Party acknowledges that in entering and accepting these Terms of Use, it does not rely on, and will have no
remedies in respect of, any representation or warranty (whether made innocently or negligently) that is not set out in them.
Alterations or Variations. No alteration to or variation of these Terms of Use will take effect unless and until Rebrandly accepts the same in writing.
Governing Law and Jurisdiction. These Terms of Use and any dispute, or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), will be governed by and construed in accordance with the laws of Ireland. You irrevocably agree that the courts of Ireland will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Use or their subject matter or formation (including non-contractual disputes or claims).
